1. Definitions

• Buyer: Any business entity, distributor, or representative purchasing LED products from Base LED for resale, commercial projects, or institutional use.

• Company: Base LED, the supplier and manufacturer of LED lighting products.

• Products: All LED bulbs, panels, strips, fixtures, and related electrical lighting products offered for sale by the Company.

2. Buyer Eligibility

• Buyers must possess a valid business registration, GST number, and PAN card as per Indian laws.

• Only authorized representatives are allowed to place and confirm orders on behalf of the Buyer.

3. Purchase Terms

• All orders are subject to stock availability and confirmation by the Company.

• Minimum order quantities (MOQ) may apply on certain SKUs.

• Prices are exclusive of applicable GST and shipping charges unless specified otherwise.

4. Payment Terms

• New buyers are required to make advance payment or pay against a proforma invoice.

• Credit terms (e.g., 15/30 days) may be extended to recurring buyers subject to approval.

• Delayed payments may attract a 1.5% monthly interest on the outstanding amount.

5. Shipping and Delivery

• The Company coordinates deliveries via verified logistics/courier partners.

• Risk and ownership transfer to the Buyer upon delivery.

• Any damages, shortages, or issues must be reported within 24 hours of delivery with supporting unboxing photos or videos.

6. Returns & Replacement

• Only defective or incorrectly supplied items are eligible for return or exchange.

• Return requests must be submitted within 7 days of delivery along with proper proof.

• Customized or bulk-made-to-order products are non-returnable unless damaged in transit.

7. Confidentiality

• All pricing, trade terms, and product details shared between the Buyer and the Company are confidential and must not be shared with third parties without written consent.

8. Compliance

• Buyers are expected to comply with relevant commercial trade laws and GST invoicing norms.

• The Company reserves the right to review buyer credentials and revoke access in cases of non-compliance or fraudulent activity.

9. Dispute Resolution

• Any disputes shall first be resolved amicably.

• If unresolved, legal jurisdiction will rest exclusively with the courts of Jaipur, Rajasthan, India.

10. Modification of Terms

• Base LED reserves the right to modify or revise this agreement at any time with prior notice.

• Continued engagement after updates implies acceptance of the new terms.
